Board and Governance Framework



Board Charter

The Board derives its rights and duties from the Board Charter. In addition, the duties of individual Directors of the PIC, both Executive and Non-Executive Directors, are governed by the PIC Act and the PIC's Memorandum of Incorporation (I), as well as the Companies Act, the PFMA and common law.  

The Board revised its Charter during the period under review for compliance with King IV principles and for alignment with other best practices identified.  


 

The Board's Responsibilities

The Board exercises its leadership role by:  

  • Steering the PIC and setting its strategic direction;
  • Approving policy and planning that give effect to the direction provided;
  • Overseeing and monitoring implementation and execution by management; and
  • Ensuring accountability for the PIC's performance by means of, amongst others, reporting and disclosures.

The responsibilities of the Board are separate and distinct from those of management. The Board exercises sound leadership, integrity and independent judgment in pursuit of strategic goals and objectives, to achieve long-term sustainability, growth and prosperity, while always remaining cognisant of the best interests of all stakeholders. The Board is accountable for the  

overall performance and affairs of the PIC. It leads ethically and provides leadership within a framework of prudent and effective control, thereby ensuring that the PIC's ethics are managed effectively and that the PIC is a responsible corporate citizen.  

As much as the Board plays a key role in the strategic direction of the company, it also considers employee-related matters and key appointments, ensures that there is proper succession planning, and provides continuous oversight on material matters.  

It acts as an independent check and balance to the EXCO team, whose main responsibility remains to manage the operations of the PIC.  


 

Board Committees

The Board should ensure that its arrangements for delegation within its own structures promote independent judgment and assist with the balance of power and effective discharge of its duties in line with King IV. The PIC Board has delegated roles and responsibilities to Board committees based on legal requirements, and what is appropriate for the PIC to achieve the objectives of delegation.  

The Board recognises that duties and responsibilities can be delegated, but that accountability cannot be abdicated and that the Board ultimately remains accountable.  

To discharge its responsibilities, the Board is assisted by six Board committees, namely the Audit and Risk Committee (ARC), the Social and Ethics Committee (SEC), the Investment Committee (IC), the Human Resources and Remuneration Committee (HRRC), the Directors' Affairs Committee (DAC), and the Information, Communication and Technology Governance Committee (ICTGC). The Board has also established three Fund Investment Panels (FIPs) as sub-committees of the Investment Committee, to assist the Board in discharging its statutory duties and responsibilities in relation to investments in South Africa, offshore and in the rest of the African continent.

While delivering healthy returns for our clients is a top priority, the PIC also contributes to the broader socio-economic development of South Africa by making significant infrastructural investments in previously disadvantaged and underdeveloped communities.

The PIC has, to date, invested R2.5 billion in 26 retail developments. These include the first full-service shopping malls in Soshanguve, GaRankuwa and Tembisa in Gauteng, as well as in several townships in Mpumalanga province. Similar developments will soon be extended to other provinces through our secondary township investment plan.

We are also heavily involved in other projects related to the development of the country’s airports, roads and community infrastructure.

Airport development was a major priority for South Africa in the run-up to the 2010 World Soccer Cup. The PIC was hugely involved in this through our 20 percent shareholding in the Airports Company of South Africa (ACSA), which undertook over R19 billion of capital expenditure to refurbish and extend key airports in preparation for 2010. These airports, namely Johannesburg International (O.R Tambo), Cape Town International and King Shaka International Airport in Durban, are now world-class points of entry for overseas visitors coming to South Africa.

As a proudly South African- and proudly African organisation- the PIC is also looking to make positive, long-term investments beyond South Africa’s borders. In July 2007, the PIC officially launched the Pan African Infrastructure Development Fund (PAIDF) to focus on commercially viable infrastructure projects further afield on the African continent.

To date, African investors, including the Government Employees Pension Fund, have committed $625 million to PAIDF investments.

1911-1951

In 1911, the Public Debt Commissioners was established with a mandate to manage trust funds placed in the care of the government.

Initially, the Public Debt Commissioner’s clients were the South African Railways and Harbours but by 1924, they included the funds of provincial administrators. By 1951, the total assets managed by the entity totalled £106.4 million.

1952-1961

South Africa became a Republic and established the rand as its currency.By the end of 1961, assets under management totalled R1.6 billion.

1962-1984

The PIC, then Public Investment Commissioners, changed its primary focus from debt management to the investment of funds on behalf of the public sector.
In 1965, South Africa’s economic growth was at its highest ever at 8.9%.  

1985-1999

The PIC announced the formation of the Isibaya Fund. With massive, burgeoning political and social changes underway, South Africa’s economic growth was at its lowest at 2.1%.  
 

2000-2004

Parliament passes the Public Investment Corporation Act 23 of 2004 to provide for the establishment of the Public Investment Corporation and cessation of the Public Investment Commissioners.Economic growth averaged 3.6% for the period.

2005-2010

On 1 April 2005, following the promulgation of the Public Investment Corporation Act, 2004, the PIC was transformed into the leading asset manager it is today.Due in part to the global financial crisis, South Africa’s economic growth receded to 1.8% in 2009.The PIC played a crucial role in developing the necessary airport infrastructure to accommodate the massive influx of tourists to the 2010 world soccer the tournament.

2011

The PIC celebrated 100 years of existence, ending the financial year with assets of over R1 trillion under management and a number of important infrastructural and investment projects helping to improve the day-to-day lives of millions of South Africans.

PIC finalised plans to invest 10% of the Government Employees Pension Fund (GEPF) assets under management outside the borders of South Africa, with 5% set aside for the rest of the African continent.
